Terms applicable to sales of Jily Studio products and services.

1. Identification of the Seller

These General Terms and Conditions of Sale (hereinafter "GTC") apply to all sales of products and provision of services offered by:

2. Purpose of the GTC

The purpose of these GTC is to define the conditions under which Jily Studio sells:

  • physical products, in particular 3D printed objects;
  • services, in particular 3D printing, 3D modelling and related services.

These sales may be carried out:

  • via an e-commerce website,
  • on the basis of a personalised quote,
  • or in person, on an occasional basis.

3. Scope of Application

These GTC apply to any order placed with Jily Studio, whether the customer is:

  • a consumer (B2C), or
  • a business (B2B).

They are valid for sales made in Belgium and within the European Union.

Any order implies the unreserved acceptance of these GTC by the customer, to the exclusion of all other conditions, unless otherwise agreed in writing.


4. Pre-Contractual Information

In accordance with Belgian and European law, the customer acknowledges having received, prior to the conclusion of the contract, all necessary information relating in particular to:

  • the essential characteristics of the products and services,
  • the prices and payment terms,
  • the delivery or performance timelines,
  • the rights and obligations of the parties.

5. Definitions

In these GTC, the following terms have the following meanings:

  • Customer: any natural or legal person placing an order with Jily Studio.
  • Consumer: any natural person acting for purposes outside their trade, business or profession.
  • Business: any natural or legal person acting within the scope of their professional activity.
  • Products: physical 3D printed objects sold by Jily Studio.
  • Services: 3D modelling, 3D printing and associated services.

6. Products and Services

6.1 3D Printed Physical Products

Jily Studio offers for sale 3D printed physical products, manufactured from specific materials (plastics, resins or other materials compatible with the technologies used).

The essential characteristics of the products (dimensions, materials, finishes, colours, intended use, price) are described on the website or communicated to the customer prior to ordering. Photographs, visuals, 3D renderings or examples shown are provided for illustrative purposes only and do not have contractual value.

Due to the 3D printing manufacturing process, the customer acknowledges and accepts that slight variations (texture, colour, surface finish) may exist between the visual presented and the product delivered, without this constituting a defect or grounds for a claim.


6.2 Personalised and Custom-Made Products

Certain products offered by Jily Studio are made to order or personalised at the customer's request (specific dimensions, files provided by the customer, functional adaptations, inscriptions, etc.).

In this context:

  • the customer is responsible for the accuracy of the information, files, measurements and specifications provided;
  • any written approval (signed quote, approval confirmation, electronic validation) constitutes definitive acceptance of the product characteristics.

Personalised or custom-made products may not be returned or exchanged, in accordance with applicable consumer contract legislation.


6.3 3D Printing Services

Jily Studio offers 3D printing services, including:

  • printing of models provided by the customer,
  • adaptation of existing files,
  • technical advice related to the feasibility of printing.

The customer warrants that they hold all necessary rights over the files submitted (intellectual property rights, licences, authorisations). Jily Studio shall not be held liable for the illegal or unauthorised use of files provided by the customer.


6.4 3D Modelling Services

Jily Studio also offers 3D modelling services, carried out on the basis of the information, requirements and constraints communicated by the customer.

Unless otherwise stated:

  • the services are provided on a best-efforts basis;
  • the final result depends in particular on the quality of the information provided by the customer.

The specific terms (price, timelines, number of revisions included, usage rights) are set out in the quote accepted by the customer.


6.5 Technical Feasibility

Jily Studio reserves the right to refuse an order or a service if:

  • the request is technically unfeasible,
  • the quality or safety of the final product cannot be guaranteed,
  • the request contravenes applicable legislation or public decency.

7. Prices, Quotes and VAT

7.1 Product and Service Prices

The prices of products and services offered by Jily Studio are stated in euros (EUR).

  • For consumer customers (B2C), the prices displayed on the website are inclusive of VAT, unless otherwise indicated.
  • For business customers (B2B), prices may be stated exclusive of VAT. The applicable VAT will be specified before order confirmation.

Jily Studio reserves the right to modify its prices at any time. However, products and services are invoiced on the basis of the rates in effect at the time of the order or acceptance of the quote.


7.2 Personalised Quotes

Certain services, in particular 3D modelling services, custom 3D printing or specific orders, are subject to a personalised quote.

Quotes:

  • are valid for the period indicated on the quote, or failing that, for a period of 30 days from the date of issue;
  • become contractually binding upon their written acceptance by the customer (signature, electronic validation, confirmation email).

Any modification requested by the customer after acceptance of the quote may result in the preparation of a supplementary quote.


7.3 VAT and Invoicing

Jily Studio is a company subject to Belgian VAT.

VAT is applied in accordance with applicable Belgian and European legislation:

  • for sales within Belgium;
  • for sales within the European Union, depending on the customer's status (consumer or business) and the applicable VAT rules (including intra-Community supplies).

An invoice may be provided to the customer upon simple request, or automatically for business customers.


7.4 Additional Charges

The prices stated do not include, unless otherwise specified:

  • delivery charges,
  • specific packaging charges,
  • charges related to particular requests from the customer.

These charges are communicated to the customer before final order confirmation.


7.5 Promotional Offers

Promotional offers, discounts or promotional codes are valid:

  • for the duration indicated,
  • subject to available stock,
  • in accordance with the specific conditions set out at the time of the offer.

Promotions may not be combined unless otherwise stated.


8. Orders and Validation Process

8.1 Orders via the E-Commerce Website

The customer may place an order directly via the Jily Studio website.

The order process includes:

  • selection of products and/or services;
  • review of the order summary (prices, quantities, options, any applicable charges);
  • provision of the information necessary for delivery or service performance;
  • final order and payment confirmation.

The order is deemed definitively concluded upon confirmation of payment and dispatch of a confirmation email by Jily Studio.


8.2 Orders by Quote

For products or services requiring specific analysis (custom 3D printing, 3D modelling, complex projects), the order is placed on the basis of a prior quote.

The order is deemed firm and final:

  • upon receipt of the quote signed or electronically validated by the customer,
  • and, where applicable, upon payment of the deposit indicated on the quote.

Any acceptance of the quote constitutes a contractual commitment and acceptance of these GTC.


8.3 In-Person Sales

For sales conducted in person (trade fairs, events, appointments), the order is deemed concluded:

  • at the time of payment,
  • or upon signature of an order document.

These GTC remain fully applicable to such sales.


8.4 Order Modification or Cancellation

Any request for order modification or cancellation must be submitted in writing to Jily Studio.

  • For standard products, Jily Studio reserves the right to accept or refuse the modification or cancellation depending on the stage of order processing.
  • For personalised or custom-made products and services already commenced, no cancellation may be accepted after validation, unless otherwise agreed in writing.

Any costs already incurred shall remain payable by the customer.


8.5 Availability

Products are offered subject to available stock or production capacity.

In the event of unavailability of a product or inability to perform a service after order confirmation, the customer shall be informed as soon as possible. An alternative solution or a refund may be offered, in accordance with applicable legislation.


9. Payment Terms and Late Payment

9.1 Accepted Payment Methods

Jily Studio accepts the following payment methods:

  • online payment via the solutions offered on the e-commerce website;
  • bank transfer;
  • any other payment method indicated at the time of order or on the quote.

Payments are made in euros (EUR).


9.2 Payment Terms -- Consumer Customers (B2C)

For consumer customers, payment is due:

  • in full, at the time of order for online sales;
  • or in accordance with the terms specified for in-person sales.

The order will only be processed upon receipt of full payment.


9.3 Payment Terms -- Business Customers (B2B)

For business customers, payment terms are those indicated on the invoice or quote.

Unless otherwise stated:

  • invoices are payable within 30 calendar days from the date of issue;
  • Jily Studio reserves the right to request a deposit before commencing the performance of services or the production of products.

9.4 Late or Non-Payment -- B2B

In the event of non-payment by the due date by a business customer, the amounts due shall be increased automatically and without prior formal notice by:

  • late payment interest at the rate provided for by the Belgian Act of 2 August 2002 on combating late payment in commercial transactions;
  • a minimum fixed compensation of EUR 40, without prejudice to the right to claim additional compensation for costs actually incurred.

Jily Studio also reserves the right to suspend or cancel any pending orders.


9.5 Late or Non-Payment -- B2C

In the event of non-payment by a consumer customer, Jily Studio shall apply the legal procedure in force, including the sending of a free reminder, before any penalty or late payment interest may be charged, in accordance with Belgian law.


9.6 Suspension and Termination

In the event of payment default, Jily Studio reserves the right to:

  • suspend the performance of services;
  • refuse any new orders;
  • terminate the contract at the customer's expense, without prejudice to any amounts already due.

10. Delivery, Timelines and Transfer of Risk

10.1 Delivery Areas

Physical products sold by Jily Studio are delivered to:

  • Belgium;
  • other European Union countries.

The exact delivery areas and any restrictions are specified at the time of order.


10.2 Delivery Methods

Product delivery is carried out:

  • to the address indicated by the customer at the time of order;
  • by the carrier chosen by Jily Studio or selected at the time of order.

Services (3D printing, 3D modelling) are performed in accordance with the terms set out in the order or the accepted quote.


10.3 Delivery and Performance Timelines

Delivery or performance timelines are indicated:

  • on an indicative basis on the website;
  • or specifically in the quote or order confirmation.

For personalised or custom-made products, timelines depend in particular on:

  • the complexity of the project,
  • final approval by the customer,
  • production workload.

A reasonable delay shall under no circumstances justify cancellation of the order or a claim for damages, except where mandatory legal provisions provide otherwise.


10.4 Transfer of Risk

For consumer customers (B2C), the transfer of risk occurs at the time of actual delivery of the product to the customer or to a person designated by them.

For business customers (B2B), the risk is transferred at the time the product is handed over to the carrier, unless otherwise agreed in writing.


10.5 Receipt of Products

The customer is required to inspect the condition of the products upon receipt.

Any anomaly (damaged, missing or non-conforming product) must be reported in writing to Jily Studio within a reasonable time following delivery, accompanied by evidence (photographs in particular).

In the absence of a claim within this period, the products shall be deemed to be in conformity.


10.6 Force Majeure

Jily Studio shall not be held liable for any delay or inability to deliver or perform resulting from a case of force majeure, including but not limited to: strikes, breakdowns, fire, natural disasters, transport disruptions, shortage of raw materials or supplier failure.


11. Right of Withdrawal (Consumer Customers -- B2C)

11.1 Principle

In accordance with the Belgian Code of Economic Law, the consumer customer has a period of 14 calendar days from:

  • the day of receipt of the product, or
  • the conclusion of the contract for services,

to notify Jily Studio of their decision to withdraw, without having to state any reason.

This right of withdrawal does not apply to business customers (B2B).


11.2 Exercise of the Right of Withdrawal

To exercise their right of withdrawal, the customer must notify Jily Studio of their decision in writing (email or letter), by means of an unambiguous statement.

The customer may use the online withdrawal form or send any other unambiguous statement.


11.3 Return of Products

In the event of a valid withdrawal:

  • the customer has 14 calendar days to return the product from the date of notification of their decision;
  • products must be returned in their original condition, unused and in their original packaging, where reasonably possible.

Return costs are borne by the customer, unless otherwise indicated.


11.4 Refund

In the event of a compliant withdrawal:

  • Jily Studio shall refund all payments received, including standard delivery charges (where applicable),
  • within 14 days of receipt of the withdrawal notification.

Jily Studio may defer the refund until receipt of the returned products or until proof of their dispatch has been provided.

The refund shall be made using the same means of payment as that used for the original order, unless otherwise agreed.


11.5 Exceptions to the Right of Withdrawal

In accordance with applicable legislation, the right of withdrawal does not apply in particular to:

  • personalised or custom-made products, including 3D printed objects manufactured to the customer's specifications;
  • services fully performed before the end of the withdrawal period, where performance began with the customer's express consent and the customer acknowledged the loss of their right of withdrawal;
  • products which, after delivery, have been used, damaged or modified by the customer.

11.6 Customer Liability

The consumer customer may be held liable for any diminished value of the product resulting from handling other than that necessary to establish the nature, characteristics and proper functioning of the product.


12. Legal Guarantee and Conformity

12.1 Legal Guarantee -- Consumer Customers (B2C)

In accordance with Belgian law, products sold by Jily Studio benefit from the legal guarantee of conformity for a period of two (2) years from the delivery of the product.

This guarantee covers defects of conformity existing at the time of delivery and manifesting within a period of two years.

In the event of a defect of conformity, the consumer customer may request:

  • repair of the product, or
  • its replacement, free of charge, unless this is impossible or disproportionate.

If repair or replacement is impossible or disproportionate, the customer may request:

  • an appropriate reduction in price, or
  • termination of the contract, in accordance with the law.

12.2 Exclusions from the Legal Guarantee

The legal guarantee does not cover in particular:

  • normal wear and tear of the product;
  • defects resulting from improper use, lack of maintenance or use not in accordance with the intended purpose;
  • damage resulting from modification of the product by the customer or a third party;
  • defects resulting from specifications, files or instructions provided by the customer.

Characteristics inherent to the 3D printing process (variations in appearance, texture, slight colour differences) do not constitute defects of conformity.


12.3 Guarantee -- Business Customers (B2B)

For business customers, products are deemed accepted without reservation upon delivery.

Any claim relating to an apparent defect must be made in writing within a reasonable time following receipt of the products.

Except where mandatory legal provisions provide otherwise, the guarantees applicable to business customers are limited to those expressly set out in these GTC or in the accepted quote.


12.4 Services and Absence of Guarantee of Result

3D modelling and 3D printing services are provided on a best-efforts basis.

Jily Studio does not guarantee a specific result where such result depends on:

  • the information provided by the customer,
  • technical or material constraints,
  • the intended end use by the customer.

13. Liability and Limitations

13.1 General Principle

Jily Studio undertakes to perform its obligations with care and professionalism, in accordance with the accepted standards applicable to 3D printing and 3D modelling.

The liability of Jily Studio may only be incurred in the event of proven fault, within the limits provided by law and by these GTC.


13.2 Limitation of Liability

Except in cases of fraud, gross negligence or mandatory statutory liability, the liability of Jily Studio is limited to:

  • the total amount actually paid by the customer for the order in question;
  • direct damages only.

Jily Studio shall under no circumstances be held liable for indirect damages, including but not limited to: loss of revenue, loss of customers, loss of data, loss of profits or commercial loss.


13.3 Liability Related to Customer Files and Instructions

Where the customer provides files, plans, models or instructions:

  • the customer warrants their accuracy, conformity and lawfulness;
  • Jily Studio shall not be liable for defects resulting from erroneous, incomplete or unsuitable files;
  • Jily Studio shall not be held liable for intellectual property rights infringements committed by the customer.

13.4 Use of 3D Printed Products

3D printed products are designed for the intended use communicated at the time of order.

Jily Studio shall not be held liable for:

  • non-conforming or improper use of the products;
  • damage resulting from inappropriate conditions of use (excessive loads, extreme temperatures, unforeseen mechanical stresses, etc.).

13.5 Liability towards Consumers (B2C)

No clause of these GTC is intended to exclude or limit the legal rights of the consumer, nor to exclude the liability of Jily Studio in the event of personal injury or mandatory statutory provisions.


14. Intellectual Property

14.1 Rights of Jily Studio

Unless expressly stated otherwise, all content, creations, models, 3D files, drawings, visuals, texts and elements produced by Jily Studio in the course of its activities are protected by intellectual property rights and remain the exclusive property of Jily Studio or TechYOS SRL.

Any reproduction, representation, modification, distribution or exploitation, in whole or in part, without prior written authorisation, is strictly prohibited.


14.2 3D Modelling Performed for the Customer

In the context of custom 3D modelling services, the usage rights granted to the customer are limited to what is expressly provided for in the accepted quote or contract.

Unless otherwise stated:

  • the customer is granted a non-exclusive right of use, for the purposes defined at the time of order;
  • reproduction, modification, distribution or commercialisation rights are not assigned.

Any full or exclusive assignment of intellectual property rights must be the subject of a separate written agreement.


14.3 Files Provided by the Customer

The customer warrants that they hold all necessary rights over the files, models or elements they provide to Jily Studio.

The customer shall indemnify Jily Studio against any claim, action or demand by third parties relating to the use of such files, in particular with regard to copyright, patents or designs and models.


14.4 Commercial References

Unless the customer objects in writing, Jily Studio reserves the right to mention the customer's name, the project completed or non-confidential visuals as a commercial reference (portfolio, website, social media).


15. Personal Data (GDPR)

Jily Studio collects and processes the customer's personal data in accordance with the General Data Protection Regulation (EU) 2016/679 (GDPR) and applicable Belgian legislation.

Personal data is collected and processed solely for the following purposes:

  • management of orders and services;
  • invoicing and legal obligations;
  • communication with the customer.

The customer has, in accordance with applicable regulations, the following rights:

  • right of access;
  • right to rectification;
  • right to erasure;
  • right to restriction of processing;
  • right to object;
  • right to data portability.

These rights may be exercised by sending a written request to Jily Studio.

For further information on the processing of personal data, the customer is invited to consult the privacy policy available on the website.


16. Governing Law and Jurisdiction

These General Terms and Conditions of Sale are governed by Belgian law.

In the event of a dispute:

  • the parties shall endeavour to reach an amicable solution;
  • failing that, the courts of the judicial district of the registered office of TechYOS SRL shall have jurisdiction.

This clause applies subject to mandatory statutory provisions protecting consumers.


17. Final Provisions

17.1 Partial Invalidity

If any clause of these GTC is declared null or unenforceable, the remaining clauses shall retain their full force and effect.


17.2 Amendment of the GTC

Jily Studio reserves the right to amend these GTC at any time. The applicable GTC are those in force at the date of the order.


17.3 Language and Prevalence

These GTC are drafted in French. In the event of translation, only the French version shall prevail.
